Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ABCmerce platform (“Platform”), operated by ABCmerce (“we”, “us”, or “our”) at www.abcmerce.com. By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- “Platform” — the ABCmerce website, mobile applications, APIs, and all associated services.
- “User” — any individual or entity that accesses the Platform, whether as a Customer, Vendor, Rider, Influencer, Aggregator, or Administrator.
- “Customer” — a User who purchases products or services through the Platform.
- “Vendor” — a registered seller who lists products for sale on the Platform.
- “Rider” — a registered delivery partner who fulfils last-mile delivery of orders.
- “Influencer” — a registered affiliate marketer who earns commission by referring Customers.
- “Order” — a confirmed purchase transaction between a Customer and a Vendor facilitated by the Platform.
- “Wallet” — the in-platform balance held by a User for payments and payouts.
- “Content” — any text, images, videos, reviews, or other material uploaded to the Platform.
2. Eligibility
- You must be at least 18 years old to create an account and transact on the Platform.
- By agreeing to these Terms, you represent that you have the legal capacity to enter into a binding contract under Nigerian law.
- Corporate Customers, Vendors, and Franchisees must be duly registered legal entities in good standing.
- We reserve the right to refuse access to any person or entity at our discretion.
3. Account Registration & Security
- You must provide accurate, current, and complete information during registration and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials. Do not share your password with anyone.
- You are responsible for all activity that occurs under your account, whether or not authorised by you.
- Notify us immediately at support@abcmerce.com if you suspect unauthorised access to your account.
- We may suspend or terminate accounts that show signs of compromise, fraud, or policy violations.
4. Marketplace Rules
4.1 For All Users
- You must not use the Platform for any unlawful purpose or in violation of any applicable Nigerian or international law.
- You must not attempt to circumvent any security, access control, or payment mechanism on the Platform.
- You must not post, upload, or transmit any Content that is defamatory, obscene, fraudulent, or infringes any third-party intellectual property rights.
- Automated scraping, crawling, or data extraction without our prior written consent is prohibited.
- Any attempt to manipulate reviews, ratings, or rankings is strictly prohibited and may result in immediate account termination.
4.2 For Vendors
- You must accurately describe all products, including condition, specifications, pricing, and stock availability.
- You must not list counterfeit, stolen, prohibited, or regulated goods without the required licences.
- You are solely responsible for the quality, safety, legality, and delivery of the products you sell.
- You must fulfil orders within the handling time stated in your store settings. Persistent failure to fulfil may result in suspension.
- You must comply with all applicable consumer-protection and product-safety regulations.
- Vendor KYC verification is mandatory before payouts are enabled. Providing false KYC documents is grounds for permanent ban and may be reported to relevant authorities.
4.3 For Riders
- You must hold a valid driving licence (where applicable) and maintain the roadworthiness of your vehicle.
- You must handle packages with care and deliver within the committed timeframe.
- Riders are independent contractors, not employees of ABCmerce.
- You must not open, damage, or tamper with any package assigned to you.
4.4 For Influencers
- You must clearly disclose your affiliate relationship when promoting ABCmerce products, in compliance with applicable advertising standards.
- You must not use misleading, deceptive, or spam-based promotional tactics.
- Self-referral (creating accounts to generate your own commissions) is prohibited and will result in commission forfeiture.
5. Orders & Payments
5.1 Order Placement
When you place an Order, you enter into a direct sale contract with the Vendor. ABCmerce acts as a marketplace facilitator and is not a party to that contract except where expressly stated.
5.2 Pricing
All prices on the Platform are in Nigerian Naira (NGN) unless otherwise stated and are inclusive of applicable VAT. Prices may change without notice; the price displayed at the time you confirm your order is the price you pay.
5.3 Payment Methods
We accept payment via Paystack, Flutterwave, Stripe, OPay, Cash on Delivery, ABCmerce Wallet, and Corporate Credit where enabled. Payment processing is subject to the terms of the respective payment provider.
5.4 Order Confirmation
An order is only confirmed once payment is successfully processed (or, for COD orders, once the Vendor accepts the order). You will receive a confirmation email and, if subscribed, a WhatsApp notification.
5.5 Cancellations
- Customers may cancel an order while its status is Pending or Processing via their account dashboard or WhatsApp bot.
- Once an order is Shipped, cancellation is not guaranteed and must be requested through customer support.
- Vendors may cancel orders only in exceptional circumstances (e.g. stock errors) and must notify ABCmerce support immediately.
6. Delivery
- Estimated delivery times are indicative only and not guaranteed.
- ABCmerce is not liable for delays caused by force majeure, customs, or circumstances beyond our reasonable control.
- Risk of loss passes to the Customer upon delivery to the shipping address provided.
- For Click & Collect orders, items held in pickup lockers expire after 72 hours, after which the order may be returned to the Vendor.
7. Returns & Refunds
- Returns are accepted within 7 days of delivery for most product categories, unless the product listing specifies otherwise or the item is non-returnable (e.g. perishables, digital downloads once accessed, personalised items).
- Returned items must be unused, in original packaging, and accompanied by proof of purchase.
- Refunds are processed to the original payment method within 5–10 business days after the return is inspected and approved.
- For Wallet-funded orders, refunds are credited to the Wallet immediately upon approval.
- Shipping costs for returns are borne by the Customer unless the return is due to a Vendor error or defective item.
8. Fees & Commissions
- ABCmerce charges Vendors a platform commission on each completed sale. The applicable rate is set out in the Vendor Agreement or Store Settings page.
- Influencer commissions are credited to the Influencer Wallet upon order delivery and are held for 7 days pending returns before becoming withdrawable.
- Vendor earnings are credited upon confirmed delivery. Payout requests are processed within 3–5 business days after verification.
- ABCmerce reserves the right to adjust commission rates with 30 days’ notice to affected parties.
- Any applicable withholding taxes will be deducted from payouts as required by Nigerian tax law.
9. Wallet
- The ABCmerce Wallet is a stored-value account for use on the Platform only. Wallet balances are not redeemable for cash except through the standard withdrawal process.
- We do not pay interest on Wallet balances.
- Wallet transactions are logged and final. Disputed transactions must be raised within 30 days.
- If your account is suspended for policy violations, your Wallet balance may be frozen pending investigation.
10. Intellectual Property
- The ABCmerce name, logo, software, and Platform design are the exclusive intellectual property of ABCmerce and may not be copied, modified, or used without our written consent.
- By uploading Content (product photos, descriptions, reviews, etc.), you grant ABCmerce a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute that Content in connection with operating the Platform.
- You represent that you own or have the right to share all Content you upload, and that it does not infringe any third-party rights.
- We will respond to valid DMCA / copyright takedown notices. To submit a notice, email legal@abcmerce.com.
11. Disputes Between Users
- ABCmerce provides a dispute resolution channel to assist Customers and Vendors in resolving order-related conflicts.
- Disputes must be raised within 14 days of the order delivery date (or expected delivery date if undelivered).
- ABCmerce’s decision in a dispute is final and binding on both parties within the Platform, without prejudice to any legal rights the parties may have.
- ABCmerce is not obligated to mediate disputes and may close a case if either party is unresponsive for more than 7 days.
12. Prohibited Items
The following are strictly prohibited on the Platform:
- Counterfeit, pirated, or infringing goods.
- Weapons, ammunition, and explosive devices (unless licensed and explicitly permitted).
- Controlled substances, narcotics, and drug paraphernalia.
- Human trafficking, adult content, or services that exploit minors.
- Stolen goods or goods obtained by fraud.
- Products that violate Nigerian customs, NAFDAC, or SON standards.
- Any item whose sale is prohibited under applicable Nigerian or international law.
Listing prohibited items will result in immediate removal, account suspension, and may be reported to law enforcement.
13. Limitation of Liability
- The Platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding uninterrupted availability, fitness for a particular purpose, or error-free operation.
- ABCmerce is a marketplace facilitator. We are not the Vendor of record for third-party products and are not liable for product defects, inaccurate descriptions, or Vendor non-performance.
- To the maximum extent permitted by Nigerian law, ABCmerce’s total cumulative liability to any User for any claim arising from these Terms shall not exceed the greater of: (a) the amount you paid to ABCmerce in the 3 months preceding the claim, or (b) NGN 50,000.
- We are not liable for indirect, incidental, consequential, punitive, or exemplary damages of any kind.
14. Indemnification
You agree to indemnify, defend, and hold harmless ABCmerce and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
15. Termination
- You may close your account at any time by contacting support. Pending orders must be completed or cancelled before closure.
- We may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or pose a risk to other Users or the Platform.
- Upon termination, your right to use the Platform ceases immediately. Clauses that by their nature should survive (payment obligations, intellectual property, indemnification, limitation of liability) will continue to apply.
16. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days.
- If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act (as amended) in Lagos, Nigeria. The arbitration shall be conducted in English.
- Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
17. Changes to These Terms
We may update these Terms at any time. When we do, we will revise the “Last updated” date and notify registered Users by email or in-platform notice at least 14 days before material changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.
18. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy and any Vendor/Rider/Influencer Agreements, constitute the entire agreement between you and ABCmerce.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for failure to perform due to causes beyond their reasonable control, including acts of God, government action, pandemics, or network outages.
